The following describes the terms on which AbleSky offers you access to our services.

Introduction

Welcome to AbleSky. By using the services on the AbleSky websites (AbleSky.com and other related software where this agreement appears), you are agreeing to the following terms, including those available by hyperlink, with AbleSky Inc. and the general principles for the websites of our subsidiaries and international affiliates. If you reside outside of the United States, you are contracting with one of our international AbleSky companies: AiBeiShi in P. R. China.

Before you may become a member of AbleSky, you must read and accept all of the terms and conditions in, and linked to, this User Agreement and the Privacy Policy. We strongly recommend that, as you read this User Agreement, you also access and read the linked information. The agreement that applies on any of our domains and subdomains is always the agreement that appears in the footer of each website.

This Agreement is effective on Feb 6, 2009, for current users, and upon acceptance for new users. The previous amendment to this Agreement was effective for all users on July 9, 2008.

AbleSky Service

• 1. Knowledge trading: you can buy or sell knowledge
• 2. Secure payment system: Using the payment system, you can pay for services via credit cards, paypal and some other payment methods.
• 3. Account management service: AbleSky keeps record for your activities, such as buying/selling knowledge, trading record etc.

Using AbleSky

While using AbleSky, you will not:

• • Post content in an inappropriate category or areas on our sites and services;
• • Violate any laws (such as copyright law), third party rights.
• • Use our sites or services if you are not able to form legally binding contracts, are under the age of 18, or are temporarily or indefinitely suspended from our sites;
• • Manipulate our fee structure, the billing process, or fees owed to AbleSky;
• • Post false, inaccurate, misleading, defamatory, or libelous content (including personal information);
• • Take any action that may undermine the feedback or ratings systems (such as displaying, importing or exporting feedback information off of the sites or using it for purposes unrelated to AbleSky);
• • Transfer your AbleSky account (including feedback) and User ID to another party without our consent;
• • Distribute or post spam, chain letters, or pyramid schemes;
• • Distribute viruses or any other technologies that may harm AbleSky, or the interests or property of AbleSky users;
• • Copy, modify, or distribute content from the Sites and AbleSky's copyrights and trademarks;
• • Harvest or otherwise collect information about users, including email addresses, without their consent.
• • Individual user can use AbleSky client software for FREE without transaction; however, enterprise users are forbidden to use client software without transaction, unless there is written permission from AbleSky

Abusing AbleSky

AbleSky and the Community work together to keep our sites and services working properly and the Community safe. Please report problems, offensive content, and policy violations to us.

Without limiting other remedies, we may limit, suspend or terminate our service and user accounts, prohibit access to our website, delay or remove hosted content, and take technical and legal steps to keep users off the sites if we think that they are creating problems, possible legal liabilities, or acting inconsistently with the letter or spirit of our policies. We also reserve the right to cancel unconfirmed accounts or accounts that have been inactive for a long time.

Payment service

• 1. Account registration
• a. Before using AbleSky payment system, you must register first.
• b. Users must keep payment related information accurate and up to date. Users are responsible for errors and damages caused by inaccurate or out of date information.
• c. Users can not transfer payment accounts to other users or allow other people to use; if you decide to terminate your payment account, you can withdraw your full amount from AbleSky account.
• 2. Payment account security
• a. Users should keep payment login and password secret, and should NOT share with any other users.
• b. If users share user account login and password with other people, AbleSky reserve the rights to take action to suspend or stop service. You should understand that it takes time for AbleSky to process your request; AbleSky is not responsible any lose caused by delaying of service. AbleSky try the best to process your request as fast as we can.
• c. If users decide to suspend payment account and get consent from AbleSky, AbleSky terminate user contract with users immediately, however, users are still responsible for any damage or lose caused by users past activities in AbleSky.

Information we collect and how we use it

We offer a number of services that do not require you to register for an account or provide any personal information to us, such as AbleSky Search. In order to provide our full range of services, we may collect the following types of information:

• • Information you provide – When you sign up for a AbleSky Account or other AbleSky service or promotion that requires registration, we ask you for personal information (such as your name, email address and an account password). For certain services, we also request credit card or other payment account information which we maintain in encrypted form on secure servers. We may combine the information you submit under your account with information from other AbleSky services or third parties in order to provide you with a better experience and to improve the quality of our services. For certain services, we may give you the opportunity to opt out of combining such information.
• • Cookies – When you visit AbleSky, we send one or more cookies – a small file containing a string of characters – to your computer that uniquely identifies your browser. We use cookies to improve the quality of our service by storing user preferences and tracking user trends, such as how people search.
• • Log information – When you access AbleSky services, our servers automatically record information that your browser sends whenever you visit a website. These server logs may include information such as your web request, Internet Protocol address, browser type, browser language, the date and time of your request and one or more cookies that may uniquely identify your browser. Also, in order to protect you from fraud, phishing, and other misconduct, we may collect information about your interaction with our services. Any such information we collect will only be used to detect and prevent fraud or other misconduct.
• • User communications – When you send email or other communications to AbleSky, we may retain those communications in order to process your inquiries, respond to your requests and improve our services.
• • Affiliated sites – We offer some of our services in connection with other web sites. Personal information that you provide to those sites may be sent to AbleSky in order to deliver the service. We process such information in accordance with this Privacy Policy. The affiliated sites may have different privacy practices and we encourage you to read their privacy policies.
• • Links – AbleSky may present links in a format that enables us to keep track of whether these links have been followed. We use this information to improve the quality of our search technology, customized content and advertising. For more information about links and redirected URLs, please see our FAQs.
• • Other sites – This Privacy Policy applies to AbleSky services only. We do not exercise control over the sites displayed as search results or links from within our various services. These other sites may place their own cookies or other files on your computer, collect data or solicit personal information from you.

AbleSky only processes personal information for the purposes described in this Privacy Policy and/or the supplementary privacy notices for specific services.

You can find more information about how we process personal information by referring to the supplementary privacy notices for particular services.

AbleSky processes personal information on our servers in the United States of America, P.R. china and in other countries. In some cases, we process personal information on a server outside your own country. We may process personal information to provide our own services. In some cases, we may process personal information on behalf of and according to the instructions of a third party, such as our advertising partners.

Rights and responsibility for AbleSky and users

AbleSky rights and responsibility:

• 1. AbleSky design, implement and operate AbleSky platform, unsure secure and effective transaction and environments.
• 2. AbleSky answers inquiry from users and try best to solve any problem facing by users.
• 3. AbleSky will provide enough information law agent for any action involved by AbleSky users.
• 4. AbleSky reserve the rights to terminate certain user accounts, delete part or full contents posted by users.
• 5. AbleSky use cookies for best user experiences.

AbleSky user rights and responsibility:

• 1. Users obey all regulation and rules set by AbleSky and enjoy AbleSky services.
• 2. Users can only user AbleSky service legally, and should NOT use AbleSky customer service phone numbers to mislead other users.
• 3. Users ensure all information accurate and real, such as: email address, phone number. Users are responsible for all lose and damage cause of information accuracy.。
• 4. Users should not use AbleSky platform for any other commercial usages without permission.
• 5. All user activity and transactions should follow laws in your own county and region.
• 6. AbleSky users are responsible for currency de-valuation while user fund is kept in AbleSky accounts.

Copyrights related knowledge products

AbleSky is not responsible for users posting copyrights material; user should not upload or post any copyright material not owned by this user. AbleSky reserve the rights to remove certain contents immediately. If repeating violation is found, AbleSky will suspend or terminate user account indefinitely. Following material are forbidden to post in AbleSky:

• 1. Anything forbidden to post by law
• 2. Anything related to terrorists or other illegal organizations
• 3. Information related to national security
• 4. Fake information
• 5. Anything related to bawdry and porn
• 6. Anything violating others copyrights
• 7. Anything harmful to other people safety and benefits illegally

Copyrights protection

• 1. All contents in AbleSky platform, including and not limited to: file, photo, material, information, web site infrastructure, web design etc are owned by AbleSky.
• 2. Without written consents, any other party should not copy, use or distribute contents from AbleSky platform.
• 3. You are responsible for lose and damage caused by your illegal activities.

Service to change, suspend or terminate

• 1. AbleSky reserve the rights to change, suspend or terminate services any time.
• 2. AbleSky reserve the rights to change user policy and update in web site.
• 3. If users decide to suspend payment account and get consent from AbleSky, AbleSky terminate user contract with users immediately, however, users are still responsible for any damage or lose caused by users past activities in AbleSky.
• 4. AbleSky reserve the rights to suspend or terminate user accounts if users violate user agreements without notice.

Liability

You will not hold AbleSky responsible for other users' content, actions or inactions, or items they list. You acknowledge that we are not a traditional auctioneer. Instead, the sites from anywhere, in venue to allow anyone to offer, sell, and buy just about anything, at anytime, from anywhere, in a variety of pricing formats and venues, such as stores, fixed price formats and auction-style formats. We are not involved in the actual transaction between buyers and sellers. We have no control over and do not guarantee the quality, safety or legality of items advertised, the truth or accuracy of users’ content or listings, the ability of sellers to sell items, the ability of buyers to pay for items, or that a buyer or seller will actually complete a transaction.

We do not transfer legal ownership of items from the seller to the buyer, and nothing in this agreement shall modify the governing provisions of California Commercial Code § 2401(2) and Uniform Commercial Code § 2-401(2), under which legal ownership of an item is transferred upon physical delivery of the item to the buyer by the seller. Unless the buyer and the seller agree otherwise, the buyer will become the item's lawful owner upon physical receipt of the item from the seller, in accordance with California Commercial Code § 2401(2) and Uniform Commercial Code § 2-401(2). Further, we cannot guarantee continuous or secure access to our services, and operation of the sites may be interfered with by numerous factors outside of our control. Accordingly, to the extent legally permitted, we exclude all implied warranties, terms and conditions. We are not liable for any loss of money, goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use of our sites and services. Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to you.

Regardless of the previous paragraph, if we are found to be liable, our liability to you or to any third party is limited to the greater of (a) the total fees you paid to us in the 12 months prior to the action giving rise to the liability, and (b) $100.

Release

If you have a dispute with one or more users, you release us (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

Privacy

We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent. We use your information only as described in the AbleSky Privacy Policy. We view protection of users' privacy as a very important community principle. We store and process your information on computers located in the United States that are protected by physical as well as technological security devices. You can access and modify the information you provide us and choose not to receive certain communications by signing-in to your account. We use third parties to verify and certify our privacy principles. For a complete description of how we use and protect your personal information, see the AbleSky Privacy Policy. If you object to your Information being transferred or used in this way please do not use our services.

Resolution of Disputes

If a dispute arises between you and AbleSky, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and AbleSky agree that we will resolve any claim or controversy at law or equity that arises out of this Agreement or our services (a "Claim") in accordance with one of the subsections below or as we and you otherwise agree in writing. Before resorting to these alternatives, we strongly encourage you to first contact us directly to seek a resolution by going to the About Customer Support help page. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

• • Law and Forum for Disputes - This Agreement shall be governed in all respects by the laws of the State of California as they apply to agreements entered into and to be performed entirely within California between California residents, without regard to conflict of law provisions. You agree that any claim or dispute you may have against AbleSky must be resolved by a court located in Santa Clara County, California, except as otherwise agreed by the parties or as described in the Arbitration Option paragraph below. You agree to submit to the personal jurisdiction of the courts located within Santa Clara County, California for the purpose of litigating all such claims or disputes.
• • Arbitration Option - For any claim (excluding claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, the party requesting relief may elect to resolve the dispute in a cost effective manner through binding non-appearance-based arbitration. In the event a party elects arbitration, they shall initiate such arbitration through an established alternative dispute resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: a) the arbitration shall be conducted by telephone, online and/or be solely based on written submissions, the specific manner shall be chosen by the party initiating the arbitration; b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and c) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
• • Improperly Filed Claims - All claims you bring against AbleSky must be resolved in accordance with this Resolution of Disputes Section. All claims filed or brought contrary to the Resolution of Disputes Section shall be considered improperly filed. Should you file a claim contrary to the Resolution of Disputes Section, AbleSky may recover attorneys' fees and costs up to $1000, provided that AbleSky has notified you in writing of the improperly filed claim, and you have failed to promptly withdraw the claim.

Fee

AbleSky charges 10% of each transaction as commission.

本服务协议双方为能力天空科技（北京）有限公司（下称“AbleSky”）与AbleSky用户，AbleSky用户仔细阅读后接受本服务协议内容并完成用户注册后，本服务协议对双方具有法律约束力。

• 【审慎阅读】 您在申请注册流程中点击“我已阅读并同意”本协议之前，请认真阅读本协议。请您务必审慎阅读、充分理解各条款内容，特别是禁止与限制、服务变更中断或终止、协议的变更、免除责任、法律适用和争议解决条款。免除责任的条款将以粗体下划线标识，您应重点阅读。如果您不同意本服务协议以及本公司随时对其可能做出的修改，您可以主动放弃或取消AbleSky为您提供的服务。
• 【协议的变更】 本公司有权在必要时根据国家法律法规变化及维护交易秩序，修改或补充本服务协议之内容，并将通过本公司网站公布最新的服务协议，无需另行单独通知您；

  如果您对已生效的变更事项不同意的，您应当于变更事项确定的生效之日起主动取消AbleSky为您提供的任何服务，变更事项对您不产生效力；如您在变更事项生效后未主动取消AbleSky为您提供的服务，则视为您同意已生效的变更事项。

• 【用户资格】 本网站的注册用户必须是具有法律规定的民事权利能力和完全民事行为能力，能够独立承担民事责任的自然人、法人或其他组织；本协议内容不受您所属国家或地区的排斥。
• 【签约注册】当您按照注册页面提示填写信息、阅读并同意本协议且完成全部注册程序后，即表示您已充分阅读、理解并接受本协议的全部内容，并与AbleSky达成一致，成为本网站“用户”。一经注册为本网站用户，即表示您已了解并完全同意本服务协议各项内容及AbleSky对服务协议随时所做的修改。

二 服务内容

AbleSky立足于打造一个全球化的知识、服务产品的交易市场。能力天空科技为用户提供下列服务：

• 1) 知识交易服务：本公司提供的平台将支持多种类型知识产品的交易。
• 2) 安全支付服务： 本公司为您提供您在AbleSky进行网上交易时所需要的在线支付与结算功能。通过能力天空科技支付平台实现网上支付功能，并将银行的确认信息反馈用户。
• 3) 在线查询服务：本公司将对您在本系统中的所有操作进行记录，并为您提供信息管理和交易查询服务。

三 使用规则

用户在使用AbleSky所提供的各项服务时，必须遵守中华人民共和国相关法律法规的规定，用户应承诺将不会利用本服务进行任何违法或不正当的行为或活动，包括但不限于下列行为∶

• 1) 上载、传播或以其它方式传送含有反动，色情，及种族歧视等内容的信息；
• 2) 从事非法交易活动，如洗钱，提供赌博咨询，提供色情服务等；
• 3) 非法使用他人银行账户或无效的银行账号进行交易；
• 4) 违反与网络服务有关的网络协议、规定和程序；
• 5) 不得利用AbleSky网络服务系统进行任何不利于AbleSky的行为，或为任何非法目的而使用本网络服务系统；
• 6) 不得利用AbleSky网络服务系统进行任何可能对互联网正常运转造成不利影响的行为；
• 7) 不得侵犯他人专利权、著作权、名誉权或其他任何合法权益及知识产权，否则将承担所有相关法律责任；
• 8) 如发现任何非法使用用户帐号或帐号出现安全漏洞的情况，应立即联系ablesky网站在线客服（4006800025）通告AbleSky。
• 9) 个人用户在不进行任何交易的情况下也可免费使用AbleSky客户端（即时通讯软件）；企业级用户在未经AbleSky许可前，不能将该客户端（即时通讯软件）用于AbleSky交易平台以外的任何商业活动；

本公司在发现异常交易或有违法行为时，有权不经通知先行暂停或终止该用户对本网络服务系统部分或全部功能的使用。

四 支付服务

1） 账户注册

• a. 在使用AbleSky支付服务前您必须先进行用户注册，并取得本公司为您提供的支付账户（以下简称该账户）。您了解并同意，您有义务保证您提供注册信息的真实性及有效性；
• b. 您应担对您所提供的支付相关信息的真实性和准确性负责，并在取得该账户后及时更新您的最新及完整的资料。若因您未及时更新资料，导致支付服务无法提供或提供时发生任何错误，您将承担因此对您本人及他人产生的全部损失及一切不利后果，本公司不承担任何责任；
• c. 您必须对您的AbleSky支付账户负责，该账户不可转让、不可赠与、不可继承。在您决定不再使用该账户时，您应将该账户下所对应的可用款项全部提现或者向AbleSky发出其它支付指令，并向AbleSky申请注销该账户。

2) 账户安全

• a. 开通AbleSky支付账户后，您不得向其他人泄露该账户及密码信息，或以任何方式盗用其他人的AbleSky支付账户及密码。账户因您主动泄密或遭受他人攻击、诈骗等行为导致的损失及后果，均由您自行承担；因您盗用其他人账户及密码的行为给第三方造成的全部损失均由您个人承担，若因此给AbleSky造成损失，AbleSky有权向您追偿。
• b. 若您发现他人未经合法授权盗用您的账户及密码或任何其他情形时，应立即以联系ablesky网站在线客服（4006800025）通知AbleSky，要求暂停相关服务。您必须理解本公司对您的请求采取行动需要合理期限，在此之前，AbleSky对已执行的指令及(或)所导致的您的损失不承担任何责任。
• c. 如您需要注销您的AbleSky支付账户，应先经本公司审核同意。本公司注销该账户，即表明AbleSky与您之间的协议已解除，但您仍应对您使用本服务期间的行为承担可能的包括但不限于违约或损害赔偿责任。

五 注册信息及隐私保护

• 1) 您注册为AbleSky用户时应向本公司提供您的真实姓名、地址、国籍、电话号码和电子邮件地址，及（或）上传内容的相关知识产权权利证明信息。您同意本公司通过您所提供的联系方式有针对性地向您提供新的服务和机会。
• 2) 您需要对您所提供的支付相关信息的真实性和准确性负责，并在取得该账户后及时更新您的最新及完整的资料。若因您未及时更新资料，导致本服务无法提供或提供时发生任何错误，您将承担因此产生的一切后果，本公司不承担任何责任。 您必须对您的账户负责，该账户不可转让、不可赠与、不可继承。在您决定不再使用该账户时，您应将该账户下所对应的可用款项全部提现或者向本公司发出其它支付指令，并向本公司申请注销该账户。
• 3) 本公司所提供的支付服务将需要您提供您的银行账户信息，本公司将严格履行相关保密约定。
• 4) 您了解并同意，本公司使用cookie来使AbleSky网站对用户更友好，它可以帮您省去为使用我们的服务而重复输入注册信息和跟踪您的浏览器的状态
• 5) 为保障网络服务的安全性及服务质量的改进，本公司将记录并保存您登录和交易活动的相关信息，并承诺不将此类信息提供给任何第三方（除双方另有约定或法律法规另有规定外）。
• 6) AbleSky网站含有到其他网站的链接，但本公司对其他网站的隐私保护措施不负任何责任。本公司可能在任何需要的时候增加商业伙伴或共用品牌的网站。
• 7) 本公司仅按现有技术向用户提供相应的安全措施来使本公司掌握的信息不丢失，不被滥用或更改，但本公司不保证这些信息的绝对安全。

六 协议双方权利和义务

（一） AbleSky的权利和义务

• 1) AbleSky负责网络交易平台的建设、运行和维护，保证为客户提供尽可能安全有效的网络服务和交易环境。
• 2) AbleSky负责解答用户在使用网络交易平台进行交易的过程中遇到的各种疑问，并根据用户要求尽可能的及时调解用户在进行网上交易过程中与其它用户产生的纠纷。
• 3）AbleSky有权针对用户的主体资格、知识产权权利证明文件、履约能力、信用情况、以及所在网络交易平台发布的知识产品或服务的内容进行审查。
• 4) 因在AbleSky网上交易与其它用户产生的诉讼，用户通过司法部门或行政部门依照法定程序要求AbleSky提供相关数据，AbleSky应积极配合并提供有关资料。
• 5) 对于用户在AbleSky网上交易平台上的不当行为或其它任何AbleSky认为应当终止服务的情况，AbleSky有权根据不同情况选择保留或删除相关信息或继续、停止对该用户提供服务，并有权向用户追究相关法律责任。
• 6) AbleSky会在用户的计算机上设定或取用AbleSky cookies。AbleSky在用户登录时获取数据，使用cookies可为用户提供个性化服务。 如果用户拒绝所有 cookies，将不能使用需要登录的AbleSky服务内容。

（二） 用户权利和义务

• 1) 用户须严格遵守AbleSky的管理和运行规定,并享有AbleSky为用户提供的服务和优惠条件。
• 2) 用户通过AbleSky交易平台在互联网上开展合法交易活动。用户不得将AbleSky的服务电话作为用户的客服电话放在用户的网站上误导消费者，一经发现AbleSky有权随时终止为用户提供的各项服务。
• 3) 用户必须保证其向AbleSky提供有关资料的真实性，如基本信息说明，主体资格证明文件，邮箱，联系电话、知识产权权利证明文件等。用户须独立承担因其资料不准确、不真实而引发的一切责任。
• 4) 用户不得将本网络服务系统用于非本公司许可的其他用途。
• 5) 用户在网上发布的所有信息和从事的交易活动必须严格遵守现行法律法规及有关国家政策等规定，并承担与此相应的责任。
• 6) 用户完全承担使用AbleSky支付服务期间由本公司保管或代收或代付的款项的货币贬值风险及可能的孳息损失。

七 禁止与限制发布知识产品

由于发布以下知识产品或服务所引起的法律责任由相关用户完全承担，与AbleSky无关。一旦AbleSky发现有任何违反本规则或违反法律、法规或公序良俗的服务信息，AbleSky有权立即您发布的信息予以删除或屏蔽，并保留给予相关用户警告、冻结直至终止其帐户的权利。用户在此应保证其发布的知识产品或服务系自己合法拥有的知识产权或获得了知识产权所有人授权，否则若有任何第三方以任何方式向AbleSky主张权利，AbleSky均有权以本协议作为证据进行抗辩并有权向第三方披露您的相关信息，同时AbleSky因此支出的一切费用和损失均由用户承担。请各位用户自觉遵守。

禁止发布的知识产品和服务：

• 1). 含有反动、淫秽、种族或者宗教歧视或其他法律禁止内容的知识产品和服务；
• 2). 涉及恐怖活动，邪教组织等反社会的产品和服务信息；
• 3). 涉及国家秘密的信息等；
• 4). 伪造的服务信息；
• 5). 黄色淫秽产品，色情服务；
• 6). 侵犯他人知识产权、涉及第三方商业秘密或违反国家法律条例的服务信息；
• 7). 其它可能危害他人安全或利益的服务信息。
• 8). 其他可能违背社会公共利益或公序良俗的服务信息。

八 知识产权的保护

• 1) AbleSky网站上的所有内容，包括但不限于档案、图片、资料、资讯、网站架构、网页设计，均由本公司或本公司相关企业依法拥有其知识产权，包括但不限于商标权、专利权、著作权、商业秘密等；
• 2) 非经本公司或其他权利人书面同意，任何人不得擅自使用、修改、复制、公开传播、改变、散布、发行或公开发表本网站程序或内容；
• 3) 尊重知识产权是您应尽的义务，如有违反，您须承担相应的法律责任；

九 服务变更、中断或终止

• 1) 鉴于网络服务的特殊性，您表示理解并同意AbleSky有权随时变更、中断或终止部分或全部的网络服务。AbleSky无需将变更，中断或终止内容通知用户，也无需对任何用户或任何第三方承担任何责任；
• 2) AbleSky有权在必要时修改服务条款，并将在重要页面上向用户提示修改内容。如果您不同意所改动的内容，可以主动取消已获得AbleSky提供的网络服务。如果您继续享用网络服务，则视为接受服务条款的变动；
• 3) 如用户向AbleSky提出注销注册用户身份时，经审核同意，由AbleSky注销该注册用户，并解除与之服务协议关系。但注销该用户账号后，AbleSky有权保留该用户的注册数据及注销以前的交易行为记录。如用户在注销前在AbleSky交易平台上存在违法或违反合同的行为，AbleSky仍可行使本服务协议所规定的权利；
• 4) 如用户提供的个人资料不实或违反本协议中规定的使用规则，AbleSky有权随时中断或终止向用户提供本协议项下的网络服务，而无需对用户或任何第三方承担任何责任。

十 免责声明

• 1) 您表示理解并同意：自行承担因使用AbleSky网络服务所产生的风险，AbleSky对用户不承担任何责任。
• 2) 对所提供的网络服务，AbleSky不担保一定能满足所有用户的全部要求，亦不能保证网络服务的绝对及时性、绝对安全性、绝对准确性。
• 3) 若能力天空不是视频、音频、PDF等文件的唯一存放平台，可能并非能力天空平台泄露；另外像黑客攻击等问题无法通过现有手段去规避，即便是从能力天空平台泄露，也并非能力天空故意或重大过失所致，故能力天空平台因第三方侵权给平台客户造成损失的，该责任完全由侵权方承担，能力天空可以配合客户挽回损失。
• 4) AbleSky保留在不事先通知用户的情况下随时中断或终止部分或全部网络服务的权利，对于所有服务的中断或终止而造成的任何损失，无需对用户或任何第三方承担任何责任。
• 5) 如因系统维护或升级的需要，AbleSky有权暂停网络服务。

十一 违约责任

• 1) 如因用户违反有关法律、法规或本协议项下的任何条款而给AbleSky或其他用户造成损失，用户同意承担由此造成的损害赔偿责任，若第三方因此向AbleSky追究责任的，AbleSky有权向用户追偿，包括但不限于自身的直接经济损失、商誉损失及对外支付的赔偿金、和解款、律师费、诉讼费等间接经济损失；
• 2) 如因AbleSky违反有关法律、法规或本协议项下的任何条款而给用户造成损失，AbleSky同意承担由此造成的损害赔偿责任。

十二 法律适用与争议解决

• 1) 协议双方应以友好协商方式解决协议履行过程中产生的争议与纠纷；
• 2) 协商无效时，应提交能力天空科技（北京）有限公司住所地法院通过诉讼解决；
• 3) 本协议之效力、解释、执行、争议解决等均适用中华人民共和国和用户所在国家相关法律法规，没有相关法律规定的内容，参照通用国际商业惯例和（或）行业惯例。

十三 技术服务费用

本公司将对每笔交易按照实际交易金额，向收款方收取一定的交易技术服务费用。

十四 本协议自2015年08月01日起实行，解释权归能力天空科技（北京）有限公司所有。
